Welcome to the Sharp Reward Giveaway of CSharpCorner Rewards Giveaway Terms (these “Rewards Terms”) for the Sharp Reward Giveaway by the Sharp Innovation Foundation (the “Foundation”, “we” or “us”).

BY PARTICIPATING IN THE GIVEAWAY, THE RECEPIENT UNDERSTANDS AND EXPRESSLY ACCEPTS THAT THE REWARDS WILL BE CREATED AND DELIVERED TO THE RECEPIENT AT THE SOLE RISK OF THE RECIPIENT ON AN “AS IS” AND “UNDER DEVELOPMENT” BASIS. NIETHER THE FOUNDATON NOR ANY AFFILIATE OF THE FOUNDATION MAKES ANY WARRANTY WHATSOEVER WITH RESPECT TO THE REWARD, INCLUDING ANY (I) WARRANTY OF MERCHANTABILITY; (II) WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE; (III) WARRANTY OF TITLE; OR (IV) WARRANTY AGAINST INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS OF A THIRD PARTY; WHETHER ARISING BY LAW, COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE OF TRADE, OR OTHERWISE. EXCEPT AS EXPRESSLY SET FORTH HEREIN, THE RECIPIENT ACKNOWLEDGES THAT IT HAS NOT RELIED UPON ANY REPRESENTATION OR WARRANTY MADE BY THE FOUNDATION, OR ANY OTHER PERSON ON THEIR BEHALF, INCLUDING, BUT NOT LIMITED TO, CONVERSATIONS OF ANY KIND, WHETHER THROUGH ORAL OR ELECTRONIC COMMUNICATION, OR ANY WHITE PAPER. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, THE RECIPIENT ASSUMES ALL RISK AND LIABILITY FOR THE RESULTS OBTAINED BY THE USE OF ANY REWARD AND REGARDLESS OF ANY ORAL OR WRITTEN STATEMENTS MADE BY THE FOUNDATION OR ITS AFFILIATES, BY WAY OF TECHNICAL ADVICE OR OTHERWISE, RELATED TO THE USE OF THE REWARD.

These Rewards Terms are supplemental to other terms contained on our website (“General Terms”). Defined terms used but not defined herein have the meaning set forth in the General Terms.

You may not participate in the Giveaway if you do not agree to the following Reward Terms and the General Terms. By participating in the Giveaway, you agree that:

1. I am not paying for the Rewards received by under the Giveaway.
2. I have been advised to consult my own legal, tax and other advisors with respect to the merits and risks of receiving and holding the Reward and with respect to applicable resale restrictions, and solely responsible (and the Foundation is not in any way responsible) for compliance with:
   • any applicable laws of the jurisdiction in which I am resident in connection with the distribution of the REWARD hereunder, and
   • applicable resale restrictions.
3. I understand the General Terms and I am in compliance with all applicable terms of the General Terms.
4. I understand and agree the REWARD will be deemed to bear the following legend: THE REWARD HAS NOT BEEN REGISTERED UNDER THE SECURITIES ACT OF 1933, AS AMENDED (THE “ACT”) WITH THE UNITED STATES SECURITIES AND EXCHANGE COMMISSION OR UNDER THE LAWS OF ANY OTHER JURISDICTION, AND NEITHER THE FOUNDATION NOR ITS AFFILIATES INTENDS TO REGISTER THEM. PRIOR TO A DATE THAT IS ONE-YEAR STARTING FROM THE DATE OF RECEIPT OF THE REWARD, THE REWARD MAY NOT BE OFFERED OR SOLD (INCLUDING OPENING A SHORT POSITION IN SUCH REWARD) TO ANY PERSON UNLESS THE REWARD IS REGISTERED OR EXEMPT FROM REGISTRATION UNDER APPLICABLE LAW. EACH HOLDER OF THE REWARD AGREES THAT HE/SHE/IT WILL DELIVER TO EACH PERSON TO WHOM THE REWARD OR AN INTEREST HEREIN IS TRANSFERRED A NOTICE SUBSTANTIALLY TO THE EFFECT OF THIS LEGEND.
5. I shall promptly complete and deliver to the Foundation, or its agent, any and all forms, documents, processes and procedures, including, for the avoidance of doubt, any electronic verification system or process, which the Foundation determines, in its sole discretion, are reasonably necessary for the Foundation or its Affiliates to comply with applicable anti-money laundering laws, “know your customer” laws, securities laws or other applicable laws whether required as of this date or in the future.
6. I have full legal capacity, power, and authority to execute and agree to these Rewards Terms and any other documents and instruments in connection herewith and to perform the obligations hereunder and upon my execution hereof, these Reward Terms constitute valid and binding obligation of the undersigned, enforceable in accordance with its terms.
7. I understand that none of the Foundation, its subsidiaries or affiliates, or each of their respective subsidiaries, affiliates, or representatives have any obligation to register or qualify this instrument or securities to be acquired by the undersigned with any regulatory agency or exchange, including, but not limited to, the United States Securities and Exchange Commission, any state securities commission, any Canadian provincial securities commission, or any stock exchange.
8. None of the provisions of these Rewards Terms shall supersede or otherwise affect any agreement that the Foundation and the Rewardholder may otherwise have entered into, or any agreement that I may have entered into or that was entered into on my behalf with respect to the Reward.
