OutOfMemoryException

Question

 My apologies for such a simple question but I'm experiencing an OutOfMemory Exception for a windows-based program that employs Visual C++.NET 2002 and for which Windows Task Manager indicates has a Page File usage of less than 350 MB out of total available memory of 2,461 MB.  Can the program really be out of memory when I seem to have so much available in the system?
