Attach dll

Question

i want to attach given dll in windows Xp. 


   Microsoft.Office.Interop.Excel.dll

i cannot attached, this given dll downloaded from net.

put this dll in system directory and run command , but not working. and restart the pc.
 how to work this dll?
pls help me urgrntlyyyyyyyy
